End-User License Agreement

This End-User License Agreement governs the software components, hosted admin tools, and related applications Nexus makes available to you for use with its services.

1. License Grant

Subject to your compliance with this EULA, Nexus grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Nexus software and hosted applications made available to you for your internal business use.

This EULA supplements the Terms of Service. If you or your organization have a separate written agreement with Nexus, that agreement controls where it conflicts with this EULA.

2. License Restrictions

You may not, except as expressly permitted by applicable law:

  • Copy, modify, translate, adapt, or create derivative works from the software.
  • Reverse engineer, decompile, disassemble, or attempt to discover source code or underlying models, APIs, or systems.
  • Circumvent security measures, access controls, or usage limitations.
  • Rent, lease, sell, sublicense, distribute, or make the software available to unauthorized third parties.
  • Use the software in violation of law, third-party rights, or documented Nexus usage restrictions.

3. Updates, Support, and Third-Party Components

Nexus may release patches, updates, upgrades, or replacement functionality at any time. Unless Nexus states otherwise, those releases are part of the software and governed by this EULA.

The software may include or interoperate with third-party services, infrastructure, or open-source components. Those items may be subject to separate license terms and notices.

4. Data Use and Privacy

Your use of the software may involve the submission or processing of account data, business records, uploaded files, and other content. You remain responsible for ensuring that you have the rights needed to provide that information to Nexus.

Nexus handles personal information in accordance with the Privacy Policy.

5. Ownership

The software is licensed, not sold. Nexus and its licensors retain all right, title, and interest in and to the software, documentation, user interfaces, trademarks, and related intellectual property.

6. Termination

This EULA remains in effect until terminated. Your rights under this EULA terminate automatically if you breach it or the related Terms of Service.

Upon termination, you must stop using the software and, where applicable, delete local copies in your control.

7. Warranty Disclaimer

To the maximum extent permitted by U.S. law, the software is provided as is and as available, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Nexus will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenues, or lost data arising out of or relating to the software.

Nexus's aggregate liability under this EULA will not exceed the greater of the fees paid by you for the affected software or service during the 12 months preceding the claim or one hundred U.S. dollars (US $100).

9. Export Controls and U.S. Government End Users

You may not use, export, re-export, or transfer the software except as authorized by United States law and other applicable laws. You represent that you are not located in, under the control of, or a resident of any country or party subject to applicable U.S. restrictions that would prohibit access to the software.

The software and related documentation are commercial items developed at private expense. Any use by U.S. Government end users is subject to the same rights and restrictions set out in this EULA.
